Terms of Service

These Terms of Service govern all engagements between Epixels Web-Design (trading as Engineer Marketer / Axonbiz) and the Client. By engaging our services, commissioning a project, or making payment, the Client accepts these Terms in full.

1. Services Covered

These Terms apply to all services provided by Epixels Web-Design, including:

• Website design and development (WordPress FSE and related platforms)
• Website hosting services (where contracted)
• Company pre-qualification profile creation
• Company profile assessment and restructuring
• Tender documentation readiness review and advisory
• Digital asset design (logos, brand identity, marketing collateral)
• Ongoing website maintenance and compliance retainer services

Services are strictly limited to what is explicitly defined in the written proposal, quotation, invoice, or signed service agreement. Verbal agreements do not constitute scope.

2. Nature of Advisory and Assessment Services

Pre-qualification assessment, company profile advisory, and tender readiness reviews are professional guidance services based entirely on information supplied by the Client. Epixels Web-Design does not guarantee:

• Tender approval or contract award
• Vendor registration acceptance on any portal
• Pre-qualification success with any authority
• Regulatory or legal compliance
• Business development outcomes of any kind

Final responsibility for all submissions, registrations, and regulatory interactions rests solely with the Client.

3. Scope Control

Only services explicitly listed in the agreed proposal are included in the engagement. The following are not included unless specified in writing:

• Legal compliance review or legal advice
• Regulatory certification or accreditation
• Financial audit verification
• Government liaison or portal submission services
• Translation services beyond what is agreed

Additional services require a separate written agreement and may be subject to additional fees.

4. Payment Terms

• Project-based services: A 50% non-refundable deposit is required prior to project commencement. The remaining 50% is payable before website launch, final file transfer, document handover, or hosting activation — whichever occurs first.
• Subscription and retainer services: Fees are payable in advance per the agreed billing cycle. Failure to pay within the agreed period may result in service suspension without notice.
• Currency: All fees are denominated in UAE Dirhams (AED) unless otherwise specified in writing.
• Invoicing: Invoices are issued electronically. Payment is due within the period stated on the invoice.

5. Revisions

Each project phase includes up to three (3) revision rounds. A revision round constitutes consolidated written feedback delivered in a single communication. The following are not included within revision rounds and are billable separately:

• Structural changes to approved layouts or architecture
• Expansion of scope beyond the agreed brief
• Changes to strategic direction after approval
• Content rewrites beyond minor copy corrections

6. Client Responsibilities

The Client is solely responsible for:

• Providing accurate, complete, and lawful documentation and content
• Ensuring submitted documents do not infringe third-party intellectual property or confidentiality rights
• Verifying the accuracy of all licences, certifications, and regulatory claims included in deliverables
• Reviewing and approving all deliverables prior to publication or submission
• Maintaining all required business licences, permits, and registrations

Epixels Web-Design does not independently verify the legal validity, authenticity, or currency of any documents, licences, or certifications provided by the Client.

7. Intellectual Property

• Ownership of all final deliverables transfers to the Client only upon receipt of full payment.
• Until full payment is received, all work product remains the sole property of Epixels Web-Design.
• Epixels Web-Design retains the right to display completed work in its portfolio, case studies, and marketing materials unless a written confidentiality agreement has been executed.
• Third-party software, plugins, fonts, stock media, and hosting infrastructure remain subject to their respective licensing terms. The Client is responsible for maintaining any required third-party licences after handover.

8. Hosting Services

Where hosting services are provided by Epixels Web-Design, the following applies:

• Hosting is delivered through third-party infrastructure providers (currently Kinsta). Absolute uptime cannot be guaranteed.
• Reasonable security practices are implemented; however, Epixels Web-Design is not liable for downtime, cybersecurity incidents, data breaches, server failure, or force majeure events.
• Where the Client independently selects and contracts a third-party hosting provider, full responsibility for that infrastructure lies with the Client and the provider.

9. Maintenance and Subscription Services

Ongoing maintenance and retainer services may include software updates, plugin updates, security monitoring, and minor content updates as defined in the service agreement. Maintenance services do not include:

• Major redesign or structural rebuilds
• New feature or functionality development
• Creation of additional pages beyond agreed scope

Maintenance subscriptions may be terminated by either party with written notice as specified in the service agreement.

10. Confidentiality

Epixels Web-Design will take reasonable steps to protect Client documentation and business information. However, Clients remain responsible for ensuring that documents shared do not violate third-party confidentiality obligations. No digital system can guarantee absolute security.

11. Limitation of Liability

To the maximum extent permitted by UAE law:

• Total liability arising from any claim shall not exceed the total fees paid for the specific project or service giving rise to the claim.
• Epixels Web-Design shall not be liable for indirect or consequential loss, business interruption, loss of profits, tender disqualification, regulatory rejection, reputational damage, or any outcome arising from third-party decisions.

12. No Performance Guarantee

Epixels Web-Design makes no representation or warranty regarding business outcomes including:

• Business growth, revenue generation, or lead volume
• Website search engine rankings or organic traffic
• Tender success, vendor registration approval, or regulatory acceptance

All such outcomes depend on external factors beyond reasonable control.

13. Suspension and Termination

• Services may be suspended immediately if payments are overdue, the Client breaches these Terms, or misuse of hosted infrastructure occurs.
• Either party may terminate ongoing subscription services with written notice as specified in the individual service agreement.
• Upon termination, outstanding fees for work completed remain payable.

14. Governing Law

These Terms are governed exclusively by the laws of the United Arab Emirates. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE.

15. Amendments

Epixels Web-Design reserves the right to update these Terms periodically. Updated Terms will be published at axonbiz.com/terms-of-service/ with a revised effective date. Updated Terms apply to future engagements. Clients will be notified of material changes where ongoing services are in place.
